Terms and Conditions — ICD

These Terms and Conditions (“Terms”) govern all use of icd3s.com and icloudist.com (together, “our website”), and all quotations, orders, sales, and services provided by ICD. By accessing our website, submitting a Request for Quote, placing an order, or otherwise engaging with our services, you agree to these Terms.
If you are entering into this agreement on behalf of a company, you represent that you have authority to bind that company.

2. Products and Services
ICD supplies enterprise server spare parts, certified refurbished servers, storage, networking equipment, and professional services including Third-Party Maintenance (ICD Care+), Spare Parts as a Service (ICD Parts+), IT Asset Disposition (ITAD), and certified data destruction (ICD Data Shield). Product listings on our website are invitations to treat, not binding offers.
3. Quotations
- All quotations are valid for 7 business days from the date of issue unless otherwise stated.
- Prices are subject to change based on exchange rate movement, supplier availability, and customs duty changes.
- A quotation becomes a binding order only upon written confirmation by ICD and receipt of payment or signed purchase order per stated terms.
4. Pricing and Currency
- Website and quotation prices are quoted in United States Dollars (USD) unless otherwise stated.
- Egyptian customers pay VAT at 14% on applicable items per Egyptian VAT Law No. 67 of 2016 as amended.
- International customers are responsible for import duties, taxes, and customs clearance in the destination country.
- ICD reserves the right to adjust quoted prices if market conditions change materially before order confirmation.
5. Payment Terms
- Payment methods accepted: bank wire transfer (T/T), Letter of Credit (L/C), credit and debit cards (via Central Bank of Egypt authorised acquirers), and cheque (subject to clearance).

- Orders are confirmed only after payment clearance or signed purchase order per agreed credit terms.
- Net-30 and longer credit terms are available to verified partners subject to credit review.
- Late payments accrue interest at 1% per month or as permitted by Egyptian commercial law.
6. Delivery
- Standard delivery is 2 weeks from purchase order confirmation and payment clearance, including Greater Cairo.
- In-stock items can be dispatched same-day when confirmed before 11:00 AM Cairo time.
- International shipping via DHL Express or Aramex — typical MENA transit 1-3 business days, Africa/Europe 3-5 business days, worldwide 5-10 business days.
- Risk passes to the customer upon delivery per Incoterms 2020 (typically CPT or DAP as specified in the quotation).
- Delivery delays caused by force majeure, customs holds, or carrier disruption are not ICD’s responsibility.

7. Warranty
- All products ship with minimum 90 days ICD replacement warranty unless otherwise stated in the quotation.
- Certified Refurbished items carry 1 year standard warranty, extendable to 3 years.
- New OEM items carry the original manufacturer’s warranty passed through.
- Warranty excludes physical damage, liquid damage, improper installation, unauthorised modification, and incompatibility with systems not validated at quotation stage.

8. Returns, Refunds, and Cancellation
- Returns are subject to our Refund Policy and Returns and RMA Policy.
- Order cancellation is subject to our Cancellation Policy.
- Egyptian consumer statutory rights under Consumer Protection Law No. 181 of 2018 are preserved.
9. Compatibility and Specifications
ICD sources parts based on part numbers, system model, and specifications provided by the customer. The customer is responsible for providing accurate system information. ICD is not liable for compatibility issues arising from incomplete or inaccurate information supplied at quotation stage.
10. Intellectual Property
All content on our website — text, images, logos, trademarks, schema data, product descriptions — is the intellectual property of ICD or our licensors. You may not reproduce, distribute, or create derivative works without written permission, except for personal or internal business reference use.
11. Acceptable Use
You must not:
- Use our website or services for unlawful purposes
- Submit false or misleading information in RFQs or orders
- Attempt to bypass security, rate limits, or access controls
- Scrape product data for commercial resale without a written data licence
- Use our content for training AI models without a written data licence (see our
/llms.txtfor permitted AI use)
12. Limitation of Liability
To the maximum extent permitted by Egyptian law:
- ICD’s total liability for any claim is limited to the amount paid by you for the specific product or service giving rise to the claim.
- ICD is not liable for indirect, consequential, incidental, special, or punitive damages, including loss of profit, revenue, data, or business opportunity.
- Nothing in these Terms limits liability for death, personal injury, fraud, or any liability that cannot be excluded under Egyptian law.
13. Indemnification
You agree to indemnify ICD against claims arising from your breach of these Terms, misuse of our services, violation of applicable law, or infringement of third-party rights.
14. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, civil unrest, pandemic, government action, port closures, customs restrictions, or supply chain disruption.
15. Data Protection
Personal data processing is governed by our Privacy Policy and Egyptian Personal Data Protection Law No. 151 of 2020.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute not resolved amicably within 30 days shall be submitted to the exclusive jurisdiction of the Cairo Economic Courts.
17. Dispute Resolution
Before initiating legal proceedings, parties agree to attempt good-faith resolution through written notice and a 30-day negotiation period. For disputes under USD 10,000, parties may elect binding arbitration under the Cairo Regional Centre for International Commercial Arbitration (CRCICA) rules.
18. Severability
If any provision is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be replaced with a valid provision closest to the original intent.
19. Entire Agreement
These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, Warranty, Cancellation Policy, and the specific quotation accepted by you, constitute the entire agreement between the parties.
20. Changes
We may update these Terms from time to time. Material changes will be notified via banner on icd3s.com for at least 30 days. Your continued use after changes take effect constitutes acceptance.
