Legal Counsel and Contracts Manager

Since 2005, ICD has supplied enterprise servers, storage, networking parts and data centre maintenance to businesses in Egypt, the Gulf, Africa and beyond.

ICD signs supply, maintenance, ITAD and partner agreements with customers and suppliers across many jurisdictions. The Legal Counsel and Contracts Manager makes sure each one protects ICD and works in practice for the teams who deliver it.

• Draft, review and negotiate customer, supplier, distribution, service and non-disclosure agreements.
• Maintain standard contract templates and a contract register with renewal and obligation dates.
• Advise sales, sourcing, finance and HR on legal questions and risk.
• Review tender terms and support public-sector bids.
• Manage corporate secretarial matters, licences and registrations in Egypt, the UAE and Kenya.
• Lead the Trade Compliance and Export Control Specialist and coordinate with the Data Protection Officer.
• Manage disputes and external counsel, keeping management informed.

• A law degree (LLB or equivalent) and admission to the Egyptian Bar or an equivalent bar.
• At least seven years of commercial legal experience, in-house or in a law firm.
• Strong drafting and negotiation of commercial contracts in English and Arabic.
• Knowledge of Egyptian commercial, corporate and labour law.
• Ability to give clear, practical advice to non-legal teams.
• Integrity, discretion and strong organisation.

• Experience with UAE or Kenyan law, or with international trade contracts including Incoterms and sanctions clauses.
• Experience with technology, IT services or distribution contracts.
• A postgraduate qualification in commercial or international law.
• Experience with contract management tools.

Fluent English and Arabic; French is an advantage.

Occasional travel to Dubai and Nairobi.
